Consignment. Consignor consigns to GoldenMemorys, hereinafter "Auction Company", certain personal property to be sold by auction company at public auction on a date to be determined by auction company, said property being listed on the attached Exhibit "A".

Right to Sell. Auction Company shall have the exclusive right to sell the personal property to the highest bidder for cash.

Commission. Consignee agrees to pay unto Auction Company a commission on the sales price of all personal property sold by auction to be withheld from the proceeds of the sale. Commission schedule: 50% per item under $50, 30% per item between $50 and $250, 20% per item over $250.

Delivery of Merchandise. Consignor shall deliver to Auction Company the personal property identified herein. The personal property shall be delivered to and shall be held for sale at Consignee's place of business at 101 Short Street, Williamsport, IN 47993-1029. Auction Company shall be responsible for any loss of or damage to merchandise while it is under the control of the Auction Company.

Accounting and Payment. At the end of every month, Auction Company shall furnish Consignor with sales slips itemizing all sales transactions and remit to Consignor all money received by him from the sale of Consignor's personal property less agreed commissions.

Title to Merchandise. Title to the merchandise consigned to Auction Company by Consignor shall remain in Consignor until such products are sold by Auction Company in the regular course of business. Consignor represents that the personal property is free and clear of all liens and agrees to indemnify and hold Auction Company harmless for the payment of same.

Construction; Waiver. This Agreement shall be construed according to the laws of the State of Indiana. The right of either party to require strict performance by the other hereunder shall not be affected by any previous waiver, forbearance, or course of dealing.
